Master Subscription Agreement — Camp Kitchen Pro LLC (MSA)

Camp Kitchen Pro LLC (“CKP,” “we,” or “us”) provides a subscription software platform designed to support food-service operations at camps and organizations. This Master Subscription Agreement (“Agreement”) governs your access to and use of CKP’s products and services (“Services”).

By executing an Order Form or using the Services, you (“Customer,” “Client,” or “you”) agree to this Agreement and the policies referenced herein.


1. Terms of Service

1.1 Acceptance of Terms

This Agreement is between the Client and Camp Kitchen Pro LLC, a Delaware limited liability company, and governs all access to and use of the CKP platform. By activating your subscription, you acknowledge and agree to be bound by this Agreement, the Privacy Policy, and any incorporated documents.

1.2 Scope of Services

CKP provides a web-based system for menu planning, recipe management, vendor ordering, inventory, forecasting, nutritional data, and reporting. These Terms apply to all use of the Services, including our web applications and related features.

1.3 Account Creation & Conduct

You must provide accurate registration information and protect your credentials. You may not share accounts, impersonate others, or use the Services for anything outside your organization’s internal operations. You are responsible for all activity under your account.

1.4 Ownership & Intellectual Property

CKP retains all rights to the Services, software, and content. You may not copy, modify, or distribute CKP materials without written consent.

1.5 Recipes & Content

You retain ownership of recipes, menus, and documents you create. CKP may use such content to operate the Services and—in de-identified, aggregated form—to improve labeling, allergen detection, forecasting, and benchmarking.
CKP will not disclose customer-identifying recipe content without written consent. Customers retain ownership only of their own added versions; all CKP library or catalog items remain CKP property.

1.6 Privacy & Data Use

CKP processes Client Data in accordance with its Privacy Policy. Clients are responsible for obtaining all necessary consents to provide data (including dietary or allergy information) to CKP.

1.7 Limitations of Services

CKP provides operational and administrative tools only as part of the standard subscription. We do not provide legal, dietary, or medical advice and, under the base subscription, do not act as a food-service manager.
At the Client’s request, CKP may, under a separate written agreement or higher-tier add-on of services, act as a remote food-service manager to provide strategic guidance, menu oversight, or operational consulting. Such enhanced services are not included in the standard subscription and will be subject to a separate scope of work and applicable fees.

1.8 Termination

Either party may terminate for material breach with written notice and a 15-day cure period (immediate termination permitted for fraud or abuse). Upon termination, CKP will retain data for 60 days to allow export before deletion.

1.9 Governing Law & Venue

This Agreement is governed by the laws of Delaware, USA, without regard to conflict-of-law rules. Disputes shall be resolved in the state or federal courts of New Castle County, Delaware.


2. Fees, Billing, and Taxes (No Pricing Included)

Fees, payment terms, user/location limits, and any connectivity fees appear in the Order Form. Unless otherwise stated:
(a) Payment is due in full upon execution of the Order Form and prior to access.
(b) Access begins after cleared payment.
(c) Overdue or declined payments may result in suspension of access.
(d) All fees include applicable taxes.
All specific pricing and matrices are intentionally omitted from this Agreement.


3. Service Levels and Support

CKP targets 99.5% uptime per calendar month, excluding scheduled maintenance and force-majeure events.
Support is available Monday–Friday, 9 a.m.–5 p.m. ET via Intercom chat or email, with 24-hour initial response goals.

Service credits may be requested for outages exceeding the SLA threshold, as detailed in the applicable Service Level Schedule (if attached).


4. Data Protection

CKP acts as a Data Processor, processing Client Data solely per Client instructions.
Security measures include encryption, access controls, monitoring, and breach notification within 72 hours if required by law.
If a separate Data Processing Addendum (DPA) is executed, its terms govern.


5. Acceptable Use

You agree not to:

  • Use the Services unlawfully or transmit malicious code.

  • Interfere with CKP systems or users.

  • Send spam or unauthorized marketing.

  • Upload data that includes PHI (HIPAA) or similarly regulated information.

Violation may result in suspension or termination.


6. Indemnification

Each party agrees to indemnify the other against third-party claims arising from its own breaches, negligence, or unlawful use of the Services.


7. Limitation of Liability

To the fullest extent permitted by law, CKP’s total liability under this Agreement is limited to the amount paid by the Client during the 12 months preceding the claim.
Neither party is liable for indirect or consequential damages, including loss of data or profits.


8. Force Majeure

Neither party is liable for failure or delay due to causes beyond reasonable control (including natural disasters, strikes, internet outages, or government actions).

10. Entire Agreement

This Agreement, including any Order Form and referenced policies, represents the entire agreement between the parties and supersedes prior discussions or understandings. Amendments must be in writing and accepted by both parties.

1. Information We Collect

We collect information to provide, improve, and secure our services. The types of data we may collect include:

Personal Information

Information you provide directly, such as:

  • Name, email address, phone number, and organization name.

  • Account login credentials and role-based permissions.

  • Billing and payment information (processed through trusted third-party providers).

  • Messages, inquiries, or support requests you send us.

Operational Data

Information entered into the Camp Kitchen Pro platform, such as:

  • Recipes, menus, inventory data, purchasing and vendor information, and nutritional details.

  • Staff or operational details added by authorized users (e.g., kitchen teams, administrators).

Automatically Collected Information

When you use our website or applications, we may automatically collect:

  • Browser type, operating system, device details, and IP address.

  • Site usage data, pages visited, and time spent on each page.

  • Data collected through cookies and analytics tools (see Section 5 below).


2. How We Use Your Information

We use the information we collect to:

  • Provide and maintain our services and software platform.

  • Manage user accounts and authentication.

  • Process payments and deliver subscriptions.

  • Respond to inquiries and provide customer support.

  • Improve our website, products, and user experience.

  • Send product updates, service announcements, or limited marketing communications (with your consent).

  • Ensure system security and prevent fraud or misuse.


3. Sharing Your Information

We do not sell or rent your personal data. We may share limited information only as needed to provide our services or comply with legal obligations:

  • With Service Providers: Trusted third-party partners (e.g., hosting, analytics, or payment processors) who assist in operating our platform.

  • With Your Organization: If you use Camp Kitchen Pro as part of an organization or camp, certain administrators may have access to your account information.

  • For Legal Reasons: When required to comply with applicable laws, court orders, or to protect the rights and safety of CKP or others.

  • In Business Transfers: If CKP undergoes a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction.

All vendors and partners handling data on our behalf are contractually obligated to maintain security and confidentiality standards consistent with this Policy.


4. Data Ownership and Recipes

Customers retain ownership of all recipes, menus, and documents they create within Camp Kitchen Pro.
CKP may use anonymized and aggregated data to improve features like nutrition labeling, allergen detection, and forecasting.
Camp Kitchen Pro library or catalog items (including proprietary templates and datasets) remain the property of CKP.


5. Cookies and Tracking Technologies

We use cookies and similar technologies to:

  • Keep you signed in and remember your preferences.

  • Understand how visitors use our website.

  • Improve site performance and security.

You can control cookies through your browser settings. Disabling cookies may limit certain site features.


6. Data Security

We use reasonable and appropriate measures to protect your data against unauthorized access or loss, including:

  • Encrypted data transmission (HTTPS).

  • Access controls and authentication safeguards.

  • Regular system monitoring, backups, and vulnerability assessments.

  • Use of secure, U.S.-based cloud hosting.

While we take precautions to safeguard information, no system is 100% secure. You can help protect your data by using strong passwords and logging out when finished.


7. Data Retention

We retain personal and operational data only as long as necessary to provide services, comply with legal obligations, or resolve disputes.
When your account or contract ends, data is retained for 60 days to allow export requests and is then securely deleted from active systems.


8. Children’s Privacy

Our services are intended for use by camps and organizations — not by children directly.
We do not knowingly collect personal information from individuals under 16.
If we learn that we have received such data directly from a minor, we will delete it promptly.
Organizations using our software are responsible for obtaining proper parental or guardian consent for any data they provide about minors.


9. Your Privacy Rights

Depending on your state of residence (including California, Virginia, and other U.S. jurisdictions), you may have the right to:

  • Access the personal data we hold about you.

  • Request correction or deletion of your information.

  • Opt out of receiving promotional communications.

  • Receive confirmation of whether your data is shared with third parties.

We may need to verify your identity before processing your request.


10. Third-Party Links

Our website may link to third-party sites or integrations (e.g., vendors, payment gateways).

Welcome to Camp Kitchen Pro!
This website and platform are owned and operated by Camp Kitchen Pro LLC (“Camp Kitchen Pro,” “CKP,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our websites, applications, and related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use immediately.


1. Overview

Camp Kitchen Pro provides cloud-based software tools designed to help camps and organizations manage food service operations, including recipes, menu planning, inventory, purchasing, forecasting, and reporting.
These Terms apply to all visitors, users, and account holders who access or use our Services.


2. Eligibility and Account Registration

To use our Services, you must:

  • Be at least 16 years old and capable of forming a binding contract.

  • Provide accurate and current registration details.

  • Maintain the confidentiality of your login credentials.

You are responsible for all activity under your account.
If you believe your account has been compromised, please notify us immediately at support@campkitchenpro.com.


3. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation.

  • Upload, transmit, or distribute any harmful code, malware, or unauthorized data.

  • Attempt to gain unauthorized access to the platform or interfere with others’ use.

  • Copy, reproduce, or create derivative works based on CKP’s software or materials.

  • Use the Services to send spam or unsolicited communications.

  • Upload sensitive health or medical information that would make CKP a “business associate” under HIPAA.

CKP reserves the right to suspend or terminate any account violating these rules.


4. Data Ownership and Use

You retain ownership of all recipes, menus, and documentation that you or your organization create within Camp Kitchen Pro.
CKP may use this data only as needed to operate and improve the Services.
Aggregated and anonymized data may be used to enhance features such as nutrition labeling, allergen detection, and forecasting.
Camp Kitchen Pro’s own library, catalog, and proprietary templates remain the property of CKP.


5. Third-Party Services

Our platform may include integrations or links to third-party vendors (e.g., payment processors or food distributors).
CKP is not responsible for the content, practices, or privacy policies of those third parties.
Your interactions with them are governed by their respective terms and policies.


6. Modifications and Service Availability

We may update or discontinue parts of the Services at any time, with or without notice.
While we strive for continuous uptime, CKP does not guarantee uninterrupted access and is not liable for delays or service interruptions beyond our control.


7. Fees and Payments

Access to our Services requires payment as outlined in your Order Form or Subscription Agreement.
Unless otherwise stated:

  • Payment is due in full upon execution of the Order Form.

  • Access is granted only after payment is received.

  • All fees include applicable taxes.

  • CKP may suspend accounts for nonpayment after notice.

Specific pricing is not included in these Terms and will appear in the executed Order Form.


8. Intellectual Property

All content, design, software, trademarks, and related materials within the Services are the property of Camp Kitchen Pro LLC or its licensors.
You may not copy, reproduce, modify, or distribute any part of the Services without prior written consent.
You may use the platform solely for your internal business operations as defined in your agreement with CKP.


9. User Content

If you upload or submit any content (including recipes, documents, or feedback), you grant CKP a nonexclusive, royalty-free license to use that content solely to operate and improve the Services.
You are responsible for ensuring you have the necessary rights to the content you submit.


10. Security

CKP uses commercially reasonable measures to secure your data, including encryption, access controls, and monitoring.
Security, however, is a shared responsibility: you must protect your passwords, maintain secure devices, and notify CKP of any suspected breach.
No system is entirely free from risk, and CKP is not liable for breaches beyond its reasonable control.


11. Disclaimer of Warranties

The Services are provided “as is” and “as available.”
CKP disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.
We do not warrant that the Services will be error-free or uninterrupted.


12. Limitation of Liability

To the fullest extent permitted by law:

  • CKP and its affiliates shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of data, profits, or business opportunities.

  • CKP’s total liability for any claim shall not exceed the amount you paid to CKP in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow such limitations, so these exclusions may not apply to you.


13. Indemnification

You agree to indemnify and hold harmless CKP, its affiliates, officers, and employees from any claim, loss, or damage arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.


14. Termination

CKP may suspend or terminate your account if you breach these Terms or misuse the platform.
Upon termination, your right to use the Services will immediately cease, and CKP will retain your data for 60 days for export purposes before deletion.


15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
Any disputes shall be resolved in the state or federal courts located in New Castle County, Delaware.
Both parties waive any right to a jury trial.


16. Changes to These Terms

CKP may update these Terms at any time. Updates will be posted on this page with a revised “Last Updated” date.
Continued use of the Services after such changes constitutes your acceptance of the new Terms.

Messaging Terms and Conditions

1. Scope

These Messaging Terms and Conditions (“Messaging Terms”) apply to the Camp Kitchen Pro messaging and communication features (“Messaging Services”), which enable in-app, web, and email communication with users and customers through Intercom (“Third-Party Service”).
These Messaging Terms supplement, and are incorporated into, your Master Subscription Agreement or other written agreement with Camp Kitchen Pro LLC (“Camp Kitchen Pro,” “CKP,” “we,” “our,” or “us”) (collectively, the “Agreement”).


2. Changes

CKP may update these Messaging Terms by posting an updated version on its website or by notifying you directly. Unless otherwise stated, such changes will take effect upon posting or notice.


3. Third-Party Service

The Messaging Services operate through Intercom R&D Unlimited Company and related Intercom affiliates (“Intercom”).
While CKP remains responsible for providing and supporting the Services, Intercom acts as a subprocessor under CKP’s Data Processing Addendum (DPA).
Nothing in these Messaging Terms limits CKP’s responsibility under the Agreement for its own acts or omissions.


4. Fees

Messaging functionality is included as part of your active Camp Kitchen Pro subscription unless otherwise stated in your Order Form.
If any separate message volume or premium messaging fees apply, CKP will provide at least 30 days’ notice before such fees take effect.
All fees include applicable taxes. You are responsible for any carrier or internet access costs associated with your use of the Messaging Services.


5. Licenses and Data Processing

You grant CKP and Intercom a limited right to process data you submit through the Messaging Services as necessary to provide and improve the Services.
All processing of personal data is performed in accordance with:


6. Compliance

You agree to use the Messaging Services in compliance with:

  • The Agreement and these Messaging Terms;

  • The Camp Kitchen Pro Acceptable Use Policy (AUP);

  • All applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and state and federal privacy laws;

  • Industry guidelines such as the CTIA Messaging Principles and anti-spam best practices; and

  • The Intercom Acceptable Use Policy, available at https://www.intercom.com/legal/terms-and-policies.

You are solely responsible for the content of any communications sent via the Messaging Services (“Messages”) and for obtaining all necessary consents from message recipients (“Recipients”).


7. Configuration and Use Requirements

To use the Messaging Services, you may need to configure authorized users, account permissions, and other settings as specified by CKP.
Failure to meet these configuration requirements or to maintain current account credentials may result in limited functionality or suspension of messaging access.
CKP is not responsible for service interruptions caused by your misconfiguration or non-compliance.


8. Personal Data and Consent

CKP processes personal data transmitted through the Messaging Services in accordance with its Privacy Policy and DPA.
You must:

  • Obtain and document valid consent from each recipient before sending any marketing or automated message;

  • Honor opt-outs or unsubscribe requests promptly; and

  • Provide accurate sender identification in all communications.

Intercom may automatically analyze message metadata and content (e.g., spam detection, abuse prevention, analytics).
By using the Messaging Services, you consent to such processing on behalf of your organization and its authorized users.


9. Restrictions

You may not use the Messaging Services to:

  • Send messages to recipients who have not provided consent or who have opted out;

  • Misrepresent your identity or impersonate another person or organization;

  • Transmit fraudulent, illegal, or misleading content;

  • Send content related to prohibited categories such as gambling, controlled substances, weapons, or adult material;

  • Transmit protected health information (PHI) under HIPAA or financial data subject to GLBA or similar regulations;

  • Upload or distribute malicious code, spam, or content that violates any law or third-party rights.


10. Indemnification

You agree to indemnify and hold harmless Camp Kitchen Pro, Intercom, and their respective affiliates, officers, and employees from any claim, fine, or penalty arising from:

  • Your or your users’ violation of these Messaging Terms or any applicable law;

  • Failure to obtain or document required consents; or

  • Any message content you or your users transmit through the Messaging Services.

This obligation is in addition to the indemnities in your Master Subscription Agreement.


11. Limitation of Liability

To the maximum extent permitted by law:

  • CKP and its affiliates shall not be liable for indirect, incidental, or consequential damages arising from use of the Messaging Services.

  • CKP’s total liability related to these Messaging Terms will not exceed the amount paid for Messaging Services in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so these may not apply to you.


12. Severability

If any provision of these Messaging Terms is held unenforceable, the remaining provisions will continue in full force and effect.


13. Entire Agreement and Order of Precedence

These Messaging Terms form part of the Agreement between you and Camp Kitchen Pro.
In the event of conflict, the following order of precedence applies:

  1. The Intercom DPA;

  2. The Camp Kitchen Pro DPA;

  3. These Messaging Terms;

  4. The Master Subscription Agreement (MSA); and

  5. The Order Form.
